The two sides are aiming to sign an agreement on December 12.<\/p>\n<p>The <a href=\"http:\/\/www.ft.com\/content\/a112136d-6c77-378c-bd08-cf01154f9b30\" data-trackable=\"link\">legal dispute<\/a> centres on Western Digital\u2019s status as the partner of Toshiba in the joint venture that underlies the memory chip business. Western, which was among a number of unsuccessful bidders for the chip unit, has maintained that Toshiba was in breach of the terms of the joint venture when it undertook the sale. <\/p>\n<p>According to people familiar with settlement negotiations, Toshiba has agreed in principle that Western can invest in a next generation chip production facility from which the Japanese company had previously blocked its JV partner from participating. <\/p>\n<aside class=\"n-content-recommended\" role=\"complementary\" data-editorial-component-id=\"component1\" data-trackable=\"recommended\">\n<h3 class=\"n-content-recommended__title\">Recommended<\/h3>\n<\/aside>\n<p>A significant part of Western\u2019s objection to the sale arose from the members of the consortium buying the chip unit \u2014 a group led by the US private equity group Bain Capital that includes <a href=\"http:\/\/markets.ft.com\/data\/equities\/tearsheet\/summary?s=BBG000B9Y5X2\" data-symbol=\"BBG000B9Y5X2\" data-trackable=\"link\">Apple<\/a>, Dell and the Korean chipmaker <a href=\"http:\/\/markets.ft.com\/data\/equities\/tearsheet\/summary?s=BBG000GQVT51\" data-symbol=\"BBG000GQVT51\" data-trackable=\"link\">SK Hynix<\/a>. Among Western\u2019s concerns during the settlement negotiations have been assurances that SK Hynix will not ultimately gain control of the chip unit.<\/p>\n<p>In an interview with Japanese media Yuji Sugimoto, managing director of Bain Capital in Tokyo, said parties were putting \u201cutmost efforts\u201d into a reconciliation, explaining that if Western were to lose its joint venture with Toshiba, it would be unable to procure cutting-edge products and would suffer heavy damage to its business. <\/p>\n<p>\u201cTherefore, we are now working towards a reconciliation,\u201d said Mr Sugimoto.<\/p>\n<p>Recognising that the legal dispute between Western and Toshiba had been unusually bitter, Mr Sugimoto said Bain would mediate between the two to \u201csettle ill feeling\u201d.<\/p>\n<p>A spokeswoman for Toshiba said the company was open to a settlement but would not provide details of the discussions. Western Digital could not be reached for comment.<\/p>\n<p>The process of selling Toshiba\u2019s highly-prized chip unit began earlier this year after the Japanese company was plunged into financial crisis by huge writedowns emerging from its US nuclear business. The sale was seen by Toshiba\u2019s lenders as the only viable option for filling a $6.6bn black hole in Toshiba\u2019s balance sheet before Tokyo Stock Exchange rules <a href=\"http:\/\/www.ft.com\/content\/78f979da-af5f-11e7-aab9-abaa44b1e130\" data-trackable=\"link\">forced the iconic company to delist<\/a>. <\/p>\n<p>Toshiba effectively neutralised that risk in November when Goldman Sachs convinced a group of more than 35 global hedge funds to invest in Toshiba through a <a href=\"http:\/\/www.ft.com\/content\/6cb938ca-cdc5-11e7-b781-794ce08b24dc\" data-trackable=\"link\">$5.4bn capital raising<\/a>.
