Held on International Bagpipe Day we droned on about whether a contract exists at all, the interpretation of contracts and some doctrines\/law that apply to contracts. \u00a0All the cases covered have featured previously on this blog.<\/p>\n<h2>On the chanter: is there a contract at all?<\/h2>\n<ul>\n<li><a class=\"Hyperlink SCXW6974622 BCX8\" href=\"https:\/\/www.aoshearman.com\/en\/insights\/ao-shearman-on-contract-law\/102k8gh\/fools-gold-when-you-have-to-pay-for-pre-contractual-services\" target=\"_blank\" rel=\"noopener noreferrer\"><span class=\"TextRun Underlined SCXW6974622 BCX8 NormalTextRun\" lang=\"EN-GB\">Fool&#8217;s gold <\/span><\/a><a href=\"https:\/\/www.aoshearman.com\/en\/insights\/ao-shearman-on-contract-law\/102k8gh\/fools-gold-when-you-have-to-pay-for-pre-contractual-services\" target=\"_blank\" rel=\"noopener noreferrer\"><span class=\"TextRun Underlined SCXW6974622 BCX8 NormalTextRun\" lang=\"EN-GB\">\u2013<\/span><\/a><a class=\"Hyperlink SCXW6974622 BCX8\" href=\"https:\/\/www.aoshearman.com\/en\/insights\/ao-shearman-on-contract-law\/102k8gh\/fools-gold-when-you-have-to-pay-for-pre-contractual-services\" target=\"_blank\" rel=\"noopener noreferrer\"><span class=\"TextRun Underlined SCXW6974622 BCX8 NormalTextRun\" lang=\"EN-GB\"> when you have to pay for pre-contractual services<\/span><\/a><span class=\"TextRun SCXW6974622 BCX8 NormalTextRun\" lang=\"EN-GB\">: <\/span>H&amp;P, an investment bank, provided services allegedly worth USD 18 million to Randgold, who H&amp;P had assumed was a client. However, terms of their engagement were never formalised or even written down. After the transaction, Randgold refused to pay H&amp;P for its services. The court rejected H&amp;P\u2019s claim that there had been an oral contract for services but, unusually, did order Randgold to pay for the value of the services rendered on the basis that it would otherwise be unjustly enriched. \u00a0Judgment: <a href=\"https:\/\/caselaw.nationalarchives.gov.uk\/ewhc\/ch\/2025\/562\" target=\"_blank\" rel=\"noopener noreferrer\"><i><span class=\"TextRun SCXW264170345 BCX8 NormalTextRun\" lang=\"EN-GB\">H&amp;P Advisory v Barrick Gold<\/span><\/i><\/a><span class=\"TextRun SCXW264170345 BCX8 NormalTextRun\" lang=\"EN-GB\">.<\/span><\/li>\n<li><a href=\"https:\/\/www.aoshearman.com\/en\/insights\/ao-shearman-on-contract-law\/102lo5t\/no-replay-contract-scored-in-the-group-chat\" target=\"_blank\" rel=\"noopener noreferrer\">No replay: contract scored in the group chat<\/a>: The English Court of Appeal delivered a useful reminder of the limited formalities required to create a binding contract under English law. DAZN, a global sports streaming platform, entered into discussions with Coupang, a South-Korean broadcaster, to sublicence its broadcasting rights to the FIFA Club World Cup 2025. The parties discussed the deal over WhatsApp, email and phone calls. Key terms were confirmed, and a written agreement was set to follow. However, DAZN later received a better offer. Coupang argued that the final whistle had already blown. The Court of Appeal found that a contract had been formed from the messages exchanged over email and WhatsApp. Specific performance of the agreement was granted to Coupang. <span>Judgment: <\/span><a href=\"https:\/\/caselaw.nationalarchives.gov.uk\/ewca\/civ\/2025\/1083?query=dazn+coupang\" target=\"_blank\" rel=\"noopener noreferrer\"><i>DAZN v Coupang<\/i><\/a>.<\/li>\n<li><a href=\"https:\/\/www.aoshearman.com\/en\/insights\/ao-shearman-on-contract-law\/102lp59\/a-seat-at-the-table-third-parties-and-exclusive-jurisdiction-clauses\" target=\"_blank\" rel=\"noopener noreferrer\">A seat at the table third parties and exclusive jurisdiction clauses<\/a>: the High Court looked at when a third party can rely on (and be bound by) an exclusive English jurisdiction clause in <a href=\"https:\/\/caselaw.nationalarchives.gov.uk\/ewhc\/comm\/2025\/2322\" target=\"_blank\" rel=\"noopener noreferrer\"><i>Campeau v Gottex<\/i><\/a>. \u00a0<\/li>\n<\/ul>\n<h2>On the tenor drone: interpretation<\/h2>\n<h2>On the bass drone: doctrines and the law<\/h2>\n<ul>\n<li><a class=\"Hyperlink SCXW34095211 BCX8\" href=\"https:\/\/www.aoshearman.com\/en\/insights\/ao-shearman-on-contract-law\/102lxuw\/red-hand-doctrine-a-new-label-and-a-high-bar\" target=\"_blank\" rel=\"noopener noreferrer\"><span class=\"TextRun Underlined SCXW34095211 BCX8 NormalTextRun\" lang=\"EN-GB\"><u>Red hand doctrine: a new label and a high bar<\/u><\/span><\/a><span class=\"TextRun Underlined SCXW34095211 BCX8 NormalTextRun\" lang=\"EN-GB\">: <\/span><span class=\"TextRun SCXW210365569 BCX8 NormalTextRun\" lang=\"EN-GB\">The red hand, or onerous clause, doctrine\u2014which says that an onerous term will not be given effect unless the other party&#8217;s attention has been specifically drawn to it\u2014is not lightly to be invoked, according to the Court of Appeal. Judgment: <\/span><a href=\"https:\/\/caselaw.nationalarchives.gov.uk\/ewca\/civ\/2025\/1387\"><i><span>MS Amlin Marine v King Trader<\/span><\/i><\/a><i><span>.<\/span><\/i><\/li>\n<li><a class=\"Hyperlink SCXW225349647 BCX8\" href=\"https:\/\/www.aoshearman.com\/en\/insights\/ao-shearman-on-contract-law\/102lxe9\/seaworthy-means-seaworthy-a-reminder-about-implied-terms\" target=\"_blank\" rel=\"noopener noreferrer\"><span class=\"TextRun Underlined SCXW225349647 BCX8 NormalTextRun\" lang=\"EN-GB\"><u>Seaworthy means seaworthy: a reminder about implied terms<\/u><\/span><\/a><span class=\"TextRun SCXW225349647 BCX8 NormalTextRun\" lang=\"EN-GB\">: <\/span><span class=\"TrackedChange SCXW70925059 BCX8 TextRun NormalTextRun\" lang=\"EN-GB\">Parties frequently argue that express words of an agreement are supplemented by an implied term.\u00a0 In this case, <\/span><span class=\"TrackedChange SCXW70925059 BCX8 TextRun NormalTextRun SpellingErrorV2Themed\" lang=\"EN-GB\">t<\/span><span class=\"TextRun SCXW70925059 BCX8 NormalTextRun SpellingErrorV2Themed\" lang=\"EN-GB\">he<\/span><span class=\"TextRun SCXW70925059 BCX8 NormalTextRun\" lang=\"EN-GB\"> High Court <\/span><span class=\"TrackedChange SCXW70925059 BCX8 TextRun NormalTextRun SpellingErrorV2Themed\" lang=\"EN-GB\">gave<\/span><span class=\"TextRun SCXW70925059 BCX8 NormalTextRun\" lang=\"EN-GB\"> a useful reminder of how stringent the test for implying a term into a contract is. On the facts, a promise that a yacht was seaworthy meant exactly that, even if the underlying fault started earlier<\/span><span class=\"TextRun SCXW268043296 BCX8 NormalTextRun\" lang=\"EN-GB\">.<\/span><span class=\"EOP SCXW268043296 BCX8\">\u00a0Judgment: <\/span><a href=\"https:\/\/caselaw.nationalarchives.gov.uk\/ewhc\/comm\/2025\/3144\" target=\"_blank\" rel=\"noopener noreferrer\"><i>Pleon v Leonis<\/i><\/a><i>.<\/i><\/li>\n<li><a class=\"Hyperlink SCXW76913865 BCX8\" href=\"https:\/\/www.aoshearman.com\/en\/insights\/ao-shearman-on-contract-law\/102lrzm\/clause-for-concern-the-penalty-rule-default-interest-and-extortion\" target=\"_blank\" rel=\"noopener noreferrer\"><span class=\"TextRun Underlined SCXW76913865 BCX8 NormalTextRun\" lang=\"EN-GB\"><u>Clause for concern \u2013 the penalty rule, default interest and extortion<\/u><\/span><\/a><span class=\"TextRun SCXW76913865 BCX8 NormalTextRun\" lang=\"EN-GB\">: <\/span><span class=\"TextRun SCXW72433893 BCX8 NormalTextRun\" lang=\"EN-GB\">Default interest in a loan agreement, at a rate of 4% compounded monthly, was not extortionate given the legitimate interests at play and so was not an unenforceable penalty.<\/span><span class=\"TrackedChange SCXW72433893 BCX8 TextRun NormalTextRun\" lang=\"EN-GB\"> <\/span><span class=\"TextRun SCXW72433893 BCX8 NormalTextRun\" lang=\"EN-GB\">It remains to be seen whether other judges take the same forensic approach<\/span><span class=\"TrackedChange SCXW72433893 BCX8 TextRun NormalTextRun\" lang=\"EN-GB\"> followed by the High Court in this case<\/span><span class=\"TextRun SCXW72433893 BCX8 NormalTextRun\" lang=\"EN-GB\">.
